特许加盟，特许经营Franchising

Franchising is a method of doing business within a given industry that involves at least two parties - the franchisor and the franchisee. The core of the contract binding the two parties is the franchise.

特许经营是在一定行业开展业务的一种方法，至少涉及特许人和受许人两方。对双方具有约束力的合同核心是特许权。

特许人，盟主，许可人Franchisor

Franchisor is the owner of a franchise who transfers the right of conducting business under a trademark or trade name to a franchisee.

特许人是特许权的所有者，并且把以某商标或商号名义开展业务的权利转让给受许人。

受许人, 加盟商，被许可人Franchisee

Franchisee is the natural person or legal person who receives the franchising license from a franchisor to conduct business under the franchisor’s trademark or trade name.

受许人是指从特许人处获得特许经营权，并且以特许人的商标或商号从事经营的自然人或法人。

特许加盟费Franchise Fee

It is the fee that the franchisee pays to the franchisor, usually payable upon the signing of the contract, for the right to use the franchisor's name, logo and business system. It can be divided into several parts, such as initial fee, ongoing fee and others etc.

特许加盟费指受许人因为使用特许人的名称、图标和业务系统而向其支付的使用费，一般在签订合同时支付。该费用分为以下几部分：初始费用、长期费用及其他费用。

特许权使用费, 权益金，管理费Royalty Fee

The royalty fee refers to a percentage of gross sales that the franchisee regularly pays to the franchisor during the operation. It reflects a certain equity owned by the franchisor from the daily operation of the franchisee.

特许权使用费指受许人在经营过程中，按销售总额的一定比例定期向特许人支付的费用。它体现的是特许人在受许人日常经营中拥有的权益。

特许经营协议Franchise Agreement

The franchise agreement is the contract that the franchisor signs with the franchisee, which outlines the expectations and requirements of the franchisor and the franchisor’s commitments to the franchisee. It covers the franchisee’s territorial rights, location requirements, training schedule, fees and general obligations of the franchisee and the franchisor etc.

特许经营协议是特许人和受许人签订的合同,它概要介绍了特许人的期望和要求，同时描述了特许人对受许人的承诺。主要包括受许人的区域权利、位置要求、培训进度表、费用、受许人和特许人的一般义务等信息。

商标Trademark

The trademark is commonly a word or mark which serves to identify exclusively the source of a product or service.

商标一般是惟一确认产品或服务来源的文字或标识。

执行Carry out

The responsibility of the general manager is to carry out the decisions of the board of directors, organize and conduct the daily management of the company.

总经理的职责是执行董事会的各项决议，组织领导公司的日常管理工作。

知识产权Intellectual Property

The term “intellectual property” contains the concept of both the personal creativity and the public protection for the results of this creativity. In another way, invention and creative expression plus protection equal intellectual property.

“知识产权”这个词同时包含个人创造及公众对这种创造成果的保护两层含义。换句话说，发明、创造性的表达加上保护就是知识产权。

商业计划书Business Plan

The business plan is a plan that outlines the objectives of a business and the steps necessary to achieve those objectives, for example the marketing plan and implementation. It can include financial projections and the planned steps for expansion.

商业计划书概要列出商业目标及实现这些目标所需的步骤，如市场营销计划和实施。包括财务预测和规划的扩张步骤。

运作手册Operating Manual

Operating manual is the comprehensive guidelines advising a franchisee on how to operate the franchised business. It covers all aspects of the business, and may be separated into different manuals addressing such subjects as accounting, personnel, advertising, promotion and maintenance.

运作手册是建议受许人如何经营特许加盟生意的综合指南。它涵盖业务的各个方面，可以划分为解决不同问题，如会计、人事、广告、促销和维护等的多个独立手册

签订合同Sign the contract

The franchisor and the franchisee, through friendly negotiation, have signed the contract and agreed on the terms and conditions stipulated below.

特许人和受许人双方经过友好协商，同意签订合同，并就如下条款达成一致。

管辖Govern

All activities of the company shall be governed by the laws, decrees and pertinent rules and regulations of the People’s Republic of China.

公司的一切活动，必须受中华人民共和国法律、法令和有关条例规定管辖。

有效Valid

The contract shall be valid for a period of 5 years from the date of coming into force of the contract. It shall be null and void automatically at the expiration of the period.

本合同自生效日起5年内有效。有效期满后合同自动终止。

仲裁Arbitration

The arbitration shall be held in Beijing and conducted in accordance with the Rules of Arbitration of the China International Economic and Trade Arbitration Commission.

仲裁地点为北京，并且按照“中国国际经济贸易仲裁委员会”的法规进行仲裁。

风险投资Venture Capital

Venture capital is the money invested or loaned by venture capitalists to new businesses that show the potential for above average growth, usually in new industry.

风险投资是指风险投资商向新业务投入或借贷的款项，这类业务具有超过平均增长速率的潜力，通常是新兴行业。
